Project Details
This Agreement commences on the date signed below. Monthly retainer engagements operate on a 30-day rolling basis with a minimum 3-month commitment. The Performance Audit & Strategy Rollout Plan is a minimum 3-month project. The Strategy Build is a 6-month project. The Edge typically runs 9–12 months and is scoped individually. One-time projects (VIP Strategy Day, 90-Day Sprint) conclude upon delivery of agreed deliverables. All timelines can be customized based on your needs.
All fees are due in advance on the 1st of each month. One-time projects require payment in full prior to commencement. Accepted payment methods include credit card, ACH transfer, and approved invoicing platforms. A 5-day grace period applies to monthly retainers. Accounts more than 10 days past due may result in a pause of services.
Monthly retainer partners may cancel with 30 days written notice after the initial 3-month commitment period. No refunds are issued for the current billing period upon cancellation. One-time projects are non-refundable once work has commenced.
Both parties agree to hold all shared business information, strategies, financials, and proprietary materials in strict confidence. This obligation survives the termination of this Agreement. The Consultant will not disclose partner information to any third party without written consent.
All strategic frameworks, proprietary tools, and methodologies developed by The Consultant — including the FRAME-D diagnostic system — remain the exclusive intellectual property of The Consultant. Partners retain ownership of all content, brand assets, and materials they provide. Deliverables created specifically for the partner during the engagement are owned by the partner upon full payment.
The Consultant provides strategic advisory services based on professional judgment and available information. Results are not guaranteed. The Consultant shall not be liable for any indirect, incidental, or consequential damages. Total liability in any matter shall not exceed the total fees paid in the 90 days preceding the claim.
The Consultant operates as an independent contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, or joint venture between the parties.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding mediation in the State of Utah before any legal action is pursued.
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, proposals, or representations. Amendments must be made in writing and signed by both parties.
By signing below, both parties acknowledge they have read, understood, and agree to all terms of this Agreement.
